Company terms
ClimateCurrent OÜ · Version 1.0 — 24 October 2026
In short.
- What your company pays for: ClimateCurrent company participation. That is a place for each of your people, a company dashboard, your own group and, if you want, a page on Teal Pages.
- Your people: they join for free, in their own name, if they want to.
- Where the money goes: methane projects we co-finance with others, chosen because they need extra funding to go ahead, and our own first site. Part of it may cover the costs of running ClimateCurrent (4.7). Certificates that this work earns are ClimateCurrent's, to sell for more methane work. Your company receives the tonnes its contributions help make possible, not certificates.
- What you see: who joined, what your company funds and what your team sets in motion together. Your company dashboard does not reveal your people's private membership activity. What they choose to share in the company group is visible to the members of that group, including your owners and admins. During the companies-only opening, the company group shows who takes part and their collective impact; posts and other social features are not yet available.
- Paying: pay the first invoice straight away or within its term: by card (live within minutes), or for invoices in euros by SEPA Direct Debit or bank transfer. You go live as soon as your payment is in.
- Stopping: you can stop at any time. What your people received stays theirs, subject to refunds, payment reversals and corrections under these terms.
1. Who we are and what this agreement is
1.1 Your agreement is with ClimateCurrent OÜ ("we", "us"):
- a private limited company registered in Estonia, registry code 17585921;
- Tornimäe tn 5, 10145 Tallinn, Estonia;
- VAT number EE103043744.
1.2 Your agreement consists of these terms and the summary you confirm at set-up, headed "What we agreed".
- The summary records the price per place, the number of places, the currency, how often we invoice, the payment term and the first invoice date.
- If the summary records something we agreed differently from these terms, the summary wins.
- Terms printed on a purchase order or in your own systems do not apply.
1.3 You sign up yourself. No approval by us is needed.
- You give us your company's details and your work e-mail address, and confirm that address with the code we send to it.
- You set up your company: its registration, your people, billing and who manages it.
- You confirm "What we agreed" and these terms. The agreement is made at that moment.
- Before you confirm, you can read, save and print these terms at app.climatecurrent.eco/company-terms.
- After you confirm, we e-mail you a copy: the summary and a link to the exact version of these terms you accepted.
A company that already takes part cannot sign up a second time. We do not accept a set-up with the VAT number, or for a company registered in Estonia the registry code, of a company that has not stopped taking part.
1.4 The person who confirms states that they are authorised to agree this for the company named. We record who accepted, when, and which version of these terms they saw.
1.5 This is an agreement between businesses.
- The consumer right of withdrawal does not apply.
- These terms are for companies and other private organisations. Public-sector bodies take part only under a separate written agreement.
- Your people who join are members under our member terms, not under this agreement.
2. What your company buys
2.1 Your company buys ClimateCurrent company participation for a number of employee places, for each period you pay for. It includes:
- a place for each person you add, which they can take for free. It comes with their own account, their own light on the map and a share of the estimated tonnes your company funds (section 6);
- a company dashboard, where your owners and admins manage people, invoices and your page;
- your company's own group, for the colleagues who join. During the companies-only opening, the company group shows who takes part and their collective impact; posts and other social features are not yet available;
- if you want it, a page on Teal Pages with your logo and story;
- the chance to appear on the company boards: on the Ripple boards without a minimum, and on the Spark boards and the pioneer roll of your city or country when you meet their minimum; and the founding-company mark when you qualify (section 9).
2.2 The amount your company pays is called its contribution. It is the price of this service. In this first version, your company pays from its own budget.
2.3 Where your contribution goes. We use what companies pay for work that cuts methane emissions. Paying an independent party to measure, check or certify the work we fund is part of funding that work. Your company gets no ownership of, or claim on, any project or what it produces, including certificates (2.5).
- Co-financing from the start. From the start, we co-finance methane projects that need extra funding to go ahead, together with others who fund them too. We choose them with the tests in 2.4.
- Our own first site. At the same time we build towards a first site of our own: one project in one place that cuts methane emissions, which is not chosen or built yet. Part of what companies pay may be set aside for it, for example for the share of its cost that a lender asks ClimateCurrent to pay itself.
- When the first site can start. That is the day the financing for the whole site is in place, for example when the loan for it is signed. We say on our website when that day has come.
- A loan for the whole site. So that the site does not have to wait until its whole cost has been saved, ClimateCurrent may borrow that cost from a bank or other lender, and pay it back with interest from what companies and members pay each month. Paying back that loan and its interest is part of funding the first site. The loan is ClimateCurrent's own debt: your company lends nothing, is not liable for the loan, and is not repaid what it paid, apart from refunds under section 11.
- After the first site can start. What companies pay then funds co-financing and our own sites, including paying back the loan for the first site and its interest, after payment costs and the costs of running ClimateCurrent, which may be covered before then too (4.7).
- What we publish. We decide how what companies pay is divided between co-financing and the first site. On our website we name each project we co-finance and who we fund it with, say why it passed the tests in 2.4, and show what share of the money went to co-financing and what share to the first site. We update this at least every three months.
2.4 How we choose. We choose the work we fund, what we co-finance and our own sites alike, with three tests:
- Our funding is needed. Without extra funding, the work would not go ahead. We do not fund work that the law already requires, or that is already fully paid for.
- It works in time. It cuts emissions within years, not decades.
- It avoids much warming for its cost. Among the work we can fund, we prefer what avoids the most warming per euro.
These tests are how we choose and what we aim for, not a guarantee. We apply them carefully to what we can know when we choose, and we cannot rule out that a project would also have gone ahead without us. Where we can, we pay for the work itself, for example per leak stopped or per installation built, rather than buy certificates. We pay for certificates only when paying for them in advance is what lets new work start.
2.5 Certificates from the work we fund. Work we fund may earn certificates, also called carbon credits: units that a recognised independent standard issues for reductions that were measured and checked.
- Certificates for the part of the work we paid for are ClimateCurrent's, unless we agree with the project that it keeps them. We may hold them or sell them, ourselves or through the project.
- What a sale brings in, after the costs of certification and of the sale, goes back into methane work under 2.3, including paying back the loan for the first site and its interest. None of it is paid out to ClimateCurrent's owners.
- Your company and your people get no certificates, and no claim on them or on what a sale brings in.
- A buyer of a certificate may count its tonnes for itself, for example against its own emissions. The tonnes your company and your people see are what your contributions helped make possible, not reductions that you own (6.4).
- Each certificate is sold or cancelled only once, in its registry. On our website we say, for each project, how many of its tonnes were sold as certificates.
2.6 If the first site cannot be financed. If the financing for the first site is not in place by 31 December 2027, or if before then we decide that it will not come together or we close ClimateCurrent:
- within six months of that date or decision, we use what was set aside for the first site, after any refunds due under sections 11 and 12.2, to co-finance methane projects that pass the tests in 2.4;
- what companies pay after that goes to co-financing in the same way, until the financing for a first site is in place;
- the tonnes then follow that work. We correct your company's figure and your people's shares to the estimate for it, divided over everything that was set aside in proportion to what each payment put in. That estimate can be more or less than the one shown before;
- we e-mail your owners before we do this.
3. Prices, plan changes, currency and VAT
3.1 Prices. Prices are per place per month, from our price table in your currency, or the price per place agreed with you, and appear in the summary. All amounts in the summary exclude VAT.
3.2 Monthly or once for 12 months.
- Monthly: we invoice each month, at the start of the month the invoice covers.
- Once for 12 months: one invoice covers 12 months. It renews by itself for another 12 months when those months end, but only when they were paid: not when their invoice is unpaid, refunded in full, or its payment was returned by your bank and not paid again. One month before, we e-mail your owners and admins the date, the amount and how it will be paid. The new invoice is made on the day the paid months end, with the places and price your company has on that day.
3.3 Changing your plan yourself. Your owners can change, on the dashboard:
- the number of places;
- the price per place, choosing from our price table or keeping your agreed price;
- monthly or once for 12 months.
A change counts from your next invoice. An invoice already made never changes, and nothing is charged or refunded for part of a period. For "once for 12 months", a change counts when the paid months end. The number of places can never be lower than the number of people on your list.
3.4 Currency. You are invoiced in the currency of your agreement, which follows the country where your company is registered.
- You pay in that currency; any bank or exchange charges on your side are yours.
- The billing country cannot be changed on the dashboard, because it decides your currency and VAT. Write to us if it must change.
3.5 VAT. VAT depends on where your company, or the branch that buys the service, is established.
- Estonia: we add Estonian VAT at the standard rate, currently 24 %.
- Another EU country, or Monaco:
- Give us your company's VAT number. We use Stripe's verification and, before issuing an invoice with reverse charge, obtain and retain VIES evidence. An invoice replacing a payment returned by your bank keeps the original VAT treatment without a fresh VIES check.
- When these checks confirm your number, we charge no Estonian VAT. The invoice says "Reverse charge", and your company accounts for VAT in its own country.
- If the name registered for that number differs from the name you gave us, the invoice carries the registered name.
- If Stripe has not verified your number, or VIES reports it invalid, we issue the invoice with Estonian VAT at the standard rate, currently 24%. Pending checks follow the three-day rule below.
- If the check of your number has not ended after three days, for example because VIES does not answer, we make the invoice with Estonian VAT at 24 %. When the number is confirmed later, we correct that invoice ourselves: a credit note, a corrected invoice with "Reverse charge" and, if you paid the VAT by card or Direct Debit, a refund of that VAT to the card or account. Where that is not possible, for example because you paid by bank transfer, the invoice stands and your dashboard says why.
- Outside the EU: we charge no Estonian VAT, because the place of supply is outside Estonia. The invoice says so with "Käibemaksuseaduse § 15 (4) 1)". Any tax due in your country on a service bought from abroad is for your company to account for.
- We need proof that your company is a business. In a country with VAT, GST or a similar tax, that proof is your company's registration number for that tax. In the United Kingdom, your company's Companies House number is also accepted, and the invoice also says "Reverse charge".
- In Switzerland, Liechtenstein, Iceland, South Africa, Colombia, South Korea and Singapore, your company can take part only with its local VAT, GST or tax registration number. We check it automatically; in Switzerland, it must be registered for VAT in the official UID register.
- VAT in euros. When an invoice in another currency carries VAT, it also shows the VAT in euros, at the European Central Bank's euro reference rate of the invoice date.
3.6 Please give us correct registration and tax details and tell us when they change.
- If a detail you gave turns out to be wrong and tax becomes due because of it, your company pays that tax.
- We make no promise about whether your company can deduct the contribution or reclaim VAT on it.
4. Invoices and payment
4.1 Invoices. We e-mail each invoice with a payment-page link, attaching its PDF and EN 16931 e-invoice files when available. The files can also be downloaded from your dashboard once available. The invoice names the service, the number of places and the period it covers.
4.2 Automatic payment. Your first invoice is made on the first invoice date in "What we agreed", normally the day you confirm. After you confirm, your owners can pay the first invoice straight away, or within its payment term. You choose how: by card (live within minutes), or, for invoices in euros, by SEPA Direct Debit or bank transfer (live once the payment has arrived, usually a few working days). Going live always follows your first payment (section 5.4). The card or mandate is then saved for your later invoices. Your owners can also save a card or mandate on the dashboard from the first invoice on.
- You then authorise us to charge each open invoice to it automatically on the invoice's due date, and an invoice you pay with "Pay by card now" as described above, until your participation ends. After that, this also applies to an invoice under 4.4 that corrects an earlier invoice or collects a payment your bank took back.
- Advance notice. The invoice e-mail tells you the amount, the payment method and the day we collect. If you save a Direct Debit mandate after that e-mail, we send a separate notice with the same details. A Direct Debit is collected at least 2 days after that notice was sent. Your company agrees to this notice of at least 2 days instead of the 14 days that otherwise apply to SEPA Direct Debits.
- If a payment fails. We tell you, and try again 3 days later and once more 3 days after that, never before the due date. If a Direct Debit is returned, we try once more 3 days later.
- Your owners can change or remove the saved payment method on the dashboard. Removing it stops later automatic payments. It does not end the agreement or cancel amounts already due.
4.3 Other ways to pay.
- You can pay an invoice by card on its payment page.
- You can pay invoices in euros by bank transfer to the bank details shown on your invoice. Please use the reference on the invoice.
- Stripe, our payment provider, processes all payments.
4.4 Please make sure each invoice is paid by its due date.
- Without a saved payment method, we send a reminder on the due date. If an invoice is still unpaid seven days after its due date, we send one more reminder.
- If the billing details on an invoice are wrong (name, address, VAT or registry number, purchase order or reference), your owners can correct it themselves on the dashboard: they save the right details and choose "Correct this invoice". We then send a credit note and a corrected invoice for the same period, places and amount before VAT. If the invoice was paid, that payment counts for the corrected invoice, and VAT that no longer applies is refunded to the card or account you paid with. Where a correction is not possible, the invoice stands and your dashboard says why.
- If anything else on an invoice is wrong, tell us straight away and we put it right with a credit note.
- If your bank takes back a payment after the invoice was paid (a Direct Debit returned later, or a card payment taken back), we credit that amount on the invoice with a credit note and send one new invoice, "Payment returned by your bank", for the amount taken back, with the same VAT treatment. It is reminded and paid like any other invoice, also after you stop.
4.5 If an invoice is not paid by its due date, we remind you as section 4.4 says. Before we pause or end your company's participation for non-payment, we give at least 14 days' written notice to pay or sort it out.
4.6 How invoices reach you. We e-mail invoices and credit notes, attaching the PDF and EN 16931 e-invoice files when available. Your company agrees to receive them this way, also if it is registered in Estonia as an e-invoice recipient. We do not yet deliver them through an e-invoice operator.
4.7 Running ClimateCurrent. Part of what your company pays may cover the costs of running ClimateCurrent, such as the platform, our team and independent checks of the work we fund. The rest goes to the co-financing and the first site described above.
5. Your people: places, lists and invitations
5.1 Places. You add your people by their work e-mail address, on the dashboard or by uploading a file.
- Your list can never hold more people than the places you pay for.
- When your owners add places, you can add people at once. Their tonnes start with the next invoice.
- You do not have to fill every place.
5.2 Check addresses carefully. If an address belongs to someone you did not mean, and that person joins, what their place already received stays with them, subject to refunds, payment reversals and corrections under these terms.
5.3 Before you add people, tell them.
- Let them know that your company offers this, that it is free and voluntary, and that you give ClimateCurrent their work address so that we can invite them.
- Give them the link to our privacy notice (the section "If your employer gives us your address").
- If your company must inform or consult, or obtain the agreement of, a works council or other employee representatives before taking part, it does so before adding people.
5.4 Invitations.
- As soon as your first payment is in, you go live: your invitations go out (unless you chose "Later", section 5.5), your own light can switch on, your Teal Page appears and you take the next open founding place. Before that, you can prepare everything on your dashboard: your people, your page, your logo and your place.
- Pay by card and you are live within minutes. With a bank transfer or SEPA Direct Debit, going live waits until the payment has arrived, which usually takes a few working days. You can switch to paying by card at any time.
- Each person gets a personal invitation from ClimateCurrent, sent because your company asked for it. It says that your company pays, that joining is free and voluntary, and what your company will see.
- The link is personal and works once, with no fixed expiry. It stops working if your company's participation ends, the address is removed or enters deletion, or the person stops invitations. Your admins can request another invitation at most once an hour; a new link replaces the old one.
- A person can stop invitations from your company with one click. We send no reminders of our own.
5.5 "Later". With "Later" you choose when to send the invitations. Unless you send them earlier, held invitations are released automatically 30 days after you gave us each address, or seven days after your first payment is in if that is later (section 5.4).
- Seven days before the scheduled release, we e-mail your owners and admins. You can then send the invitations yourself, or remove anyone who should not be invited.
- If you remove an address before its invitation went out, we never invite that person and we delete the address at once.
- If you do not finish setting up, the addresses you entered are deleted 30 days after you entered them.
- This applies in every country.
5.6 Joining is voluntary.
- Your people decide for themselves whether to join and what they share.
- Do not make joining a condition of anything, and do not reward or disadvantage anyone for joining or not joining.
5.7 Removing someone.
- When you remove a person, their place stays paid for the period already paid.
- What they received stays theirs, subject to refunds, payment reversals and corrections under these terms.
- Later shares of that place go to whoever takes it next.
6. Tonnes
6.1 Tonnes are booked once, when the payment for the whole invoice has been received. By card this is at once; for a bank transfer, when the transfer has arrived; for SEPA Direct Debit, when the debit has succeeded. If a payment is later reversed, we take those tonnes back (section 11.3). The same payment is never counted twice.
- They are calculated from the contribution excluding VAT.
- Until then the dashboard shows what the invoice is expected to fund. If an invoice is never paid, that figure is removed.
6.2 For an invoice that pays for N places, each person who takes a place receives 1/N of that invoice's tonnes, recorded in whole grams so that all shares add up exactly.
- The share of a place nobody has taken yet stays with your company until someone takes it.
- That person then also receives that place's share of earlier paid invoices.
- Nobody receives a larger share for joining early.
6.3 You keep your impact. What a person received stays with them when they leave your company, or with their anonymous place if they delete their account. It is never given to anyone else. All of this is subject to refunds, payment reversals and corrections under these terms (section 11.3).
6.4 Your company's figure and your people's shares describe the same tonnes, counted once.
- Tonnes are a cautious estimate of the reductions the work we fund is expected to achieve, not a guaranteed result. For work we co-finance with others, we count only our share, in proportion to our part of its funding. We check the estimate against the work we actually funded, all of it together, and if results fall short, we correct the estimate.
- Tonnes describe what your company's contributions help make possible. They are not your company's own reductions, are not carbon credits, and cannot be transferred, claimed or exchanged for money.
- Certificates for the same work may be sold to a buyer who counts those tonnes for itself (2.5). Your company's figure and your people's shares stay as they are when that happens, and your dashboard says that part of the work they helped make possible may be sold as certificates.
- Work funded with what certificate sales bring in is not added to your company's figure or your people's shares. We show it only in ClimateCurrent's own totals.
7. What you see, and personal data
7.1 What you see.
- Your dashboard. For each address on your list, your owners and admins see only whether that person has joined: "Joined" or "Not joined". If an invitation could not be delivered, the dashboard says so.
- Your company's figures: places, how many joined, the tonnes your company funds, and what your team sets in motion together. The team figure is the total Ripple of the colleagues who joined.
- It is shown on your dashboard and on your page on Teal Pages, also when only one colleague has joined.
- Because it is a total, do not use it to draw conclusions about one person.
- Your company dashboard does not reveal your people's private membership activity: their own contributions, their other accounts and groups, where their light is, their messages elsewhere, or whether they stopped your invitations.
- The company group. During the companies-only opening, the company group shows who takes part and their collective impact; posts and other social features are not yet available. Information your people choose to share in the company group is visible to the members of that group, including your owners and admins:
- the name and colour each colleague uses there;
- what they post there;
- their light, which colleagues see unless they switch it off for the group;
- their Ripple in the group's total, only if they choose to show their impact.
- Your use of what you see. Use what you see only to run your company's participation and to take part in the group, never to assess, reward or disadvantage anyone (5.6).
7.2 Who is responsible for what. Your company and ClimateCurrent are separate controllers under the GDPR. Each is responsible for its own part.
- Your company decides which work addresses it gives us, and when it asks us to send the invitations; held invitations are released automatically as 5.5 says, never before your first payment is in. It is responsible for:
- having a lawful reason to give us those addresses;
- telling its people beforehand (5.3);
- its own use of what it sees (7.1).
- ClimateCurrent decides how the addresses are used once we have them. That covers the text of the invitation, the latest day it goes out, the opt-out, how long addresses are kept, what your company is shown, and the membership of everyone who joins. We are responsible for:
- informing your people in the first invitation;
- answering their requests;
- deleting addresses on time.
- Deletion.
- An address that is not used is deleted 90 days after the first invitation. It then also leaves your list.
- An address you remove after its invitation went out is deleted 90 days after removal.
- An address you remove before its invitation went out is deleted at once.
- Opt-outs. If a person stops invitations from your company, we stop sending them. We keep a coded fingerprint to maintain that stop if you add the address again. The employee-list address is deleted under the deletion rules above.
- No other use. A work address is never used for news or marketing unless that person asks for it.
- Requests. We each answer privacy requests about our own part, and pass on without delay any request meant for the other.
7.3 Your owners and admins.
- Owners manage billing, the plan, the payment method, admins and stopping. Admins manage people and your page.
- Keep this list current, remove people who leave your company, and keep sign-in codes and links to yourselves.
- We use the names and work addresses of your owners and admins to run your agreement, as our privacy notice explains.
8. Your Teal Page, logo and what you may say
8.1 Your page is optional. If you add a page on Teal Pages, you allow us to show your company's name, logo, category, place, website and story on ClimateCurrent: on Teal Pages, the map, the boards and share cards.
- This permission is free of charge and lasts as long as the page exists.
- Your tonnes are shown unless you choose to hide them; the team figure is shown as section 7.1 says.
- We never show an amount of money.
8.2 Your content.
- You confirm that you have the right to use the logo and texts you add, and that they are accurate.
- Logos and stories are checked automatically when you add them.
- We may refuse, hide or remove a logo, story or page that is unlawful, infringes someone's rights, is misleading or offensive, or works against what Teal Pages and the boards are for. We tell you why, and you can ask us to look again.
- Content of a page we removed is deleted six months after our decision.
8.3 After you stop. Your page then shows that your company is not taking part now, without logo, story, website or figures. If you want your page removed altogether, ask us and we remove it.
8.4 What you may say.
- You may say accurately that your company takes part and pays a contribution to ClimateCurrent for climate projects and for places for its people.
- You may quote the estimate on your dashboard as an estimate, with its period, as tonnes your company's contributions helped make possible. Do not present them as your company's own reductions: certificates for the same work may be sold to others, who may count those tonnes (2.5).
- You may say that ClimateCurrent looks for work that would not go ahead without extra funding. Do not present that as a guarantee.
- Do not claim, on the basis of your contributions, that any product, service or your business is climate-neutral, carbon-neutral, compensated, net zero, or has a reduced or positive climate impact.
- Do not deduct these tonnes from your own emissions, and do not count your people's shares on top of your company's figure. If your company also buys certificates for work we fund, do not count the same tonnes twice.
8.5 Our name and logo. The ClimateCurrent name and logo are ours. You may use them, as we supply them, only to show that your company takes part.
- They are not a sustainability label, certification or quality mark, and you must not present them as one.
- Do not put them on products or packaging, or use them in product advertising, as a sign of environmental quality.
- Do not combine them with general claims such as "green", "sustainable" or "climate-friendly".
- The same applies to your founding number and to a place on a board.
- When you stop, stop saying that you take part now. Accurate, dated statements about the past may stay.
9. Founding companies, pioneers and boards
9.1 Founding company. The first 999 companies whose paid invoice is at least ten times the lowest monthly price per person in their currency become a "Founding company #n of 999". For a 12-month invoice, this minimum applies per month.
- The number is given once, when that payment arrives. It is shown on your page, the boards and your dashboard while you take part.
- A number is never given to another company, and the count of open places never goes back up.
- Full refund. If we refund everything your company paid, your company loses its founding number for good. A returned Direct Debit, or a card payment taken back through the bank, does not take the number away.
- Coming back after a full refund. Your company is then treated as a new company. It receives a founding number only if founding places are still open at that time, and then the next number, never its old one.
9.2 Pioneers. The first 100 companies of a city, country or other place that pay at least that place's minimum are its pioneers, in the order they joined.
- A company stays on the roll while it keeps paying at least the minimum, and leaves it when it stops or pays less.
- A company that comes back joins at the end.
9.3 Boards. Company boards show and rank companies in tonnes, never in money. Each board shows the top 100 of its place.
- Spark: what each company's own contributions set in motion. A company appears on the Spark board of a place only when it pays at least that place's minimum.
- Ripple: what the people who joined through each company set in motion together. The Ripple boards have no minimum: any company that takes part and has a page on Teal Pages can appear there, whatever its size.
- Being on a board is not a prize or an endorsement.
- We may decline to show, or remove, a company from a board or roll when its presence harms what the boards are for, for example because it is offensive, misleading or seriously controversial. We always tell the company why.
10. Stopping
10.1 An owner of your company can stop at any time, on the dashboard or by e-mail from an owner's address to [email protected]. Admins cannot stop; they see who to ask.
10.2 From the day you stop:
- We send no invoices for new periods, and a 12-month period does not renew.
- Your participation runs until the end of the period already invoiced (the end date), and an invoice already sent still has to be paid.
- Until the end date your people's lights and your page stay on.
- We tell the colleagues who joined, once, by e-mail.
10.3 You can change your mind until the end date, with "Keep taking part". Invoicing then continues as before, and no period is ever invoiced twice.
10.4 After stopping:
- Your people keep everything they received, their accounts, names, introduction codes and the people they introduced, subject to refunds, payment reversals and corrections under these terms.
- Your company keeps its dashboard and its invoices, and its founding number unless section 9.1 says otherwise.
11. Refunds and corrections
11.1 What we refund in full:
- a payment taken twice;
- an amount paid on top of what an invoice asked;
- an amount we collected wrongly;
- a payment for a period after your end date.
Please tell us as soon as you notice. We check every refund before we pay it, and you receive a credit note. We return a payment to the account it came from.
11.2 Paid periods are not refunded because you stop, or because places stay empty, unless the law requires it.
11.3 Refunds and tonnes.
- A refund or reversal reduces tonnes only to the extent that it reduces the payment funding those tonnes.
- "Reversal" covers a returned Direct Debit and a card payment taken back through the bank.
- A part refund of that payment reduces its tonnes in the same proportion, across your company's figure and your people's shares alike.
- Returning a duplicate payment or an overpayment is a matter of money only. It never reduces tonnes funded by the payment that counts.
- Nothing is ever counted twice.
11.4 This section does not limit your statutory rights or your rights with your bank or card provider.
12. Ending by us
12.1 If your company seriously breaches these terms, we explain the breach and give 14 days to put it right where that is possible, and may then end the agreement. We may act at once against fraud or unlawful use.
12.2 If we end participation without a breach by you, or close the service:
- we give at least 30 days' notice where we can;
- we refund the part of any prepaid period we will not provide.
13. Our responsibility
13.1 We provide company participation with reasonable care and skill, calculate estimates carefully and correct mistakes we find. We cannot promise that ClimateCurrent is never interrupted, or any particular result from a climate project.
13.2 Our liability cap. Our total liability for all claims under or in connection with this agreement, taken together, is limited to the higher of:
- (a) the contributions, excluding VAT, paid or payable in the 12 months before the event that gave rise to the first claim; and
- (b) twelve months' contributions, excluding VAT, for the number of places in your summary.
We are not liable for your loss of profit.
13.3 What the cap never limits. These limits do not apply:
- to damage caused intentionally or through gross negligence;
- to death or injury to health;
- where the law does not allow liability to be limited.
They do not reduce refunds due under section 11 or anyone's data-protection rights. Nothing in this section limits your right to set off claims.
14. Changes to these terms
- We e-mail your owners at least 30 days before a material change takes effect, normally from the next period. You may stop before then.
- A change never alters periods already invoiced, or shares already given, except through refunds, payment reversals and corrections under section 11.
- A change the law requires may take effect sooner; we then explain why.
- Changes your owners make to your plan (3.3) are not changes to these terms.
15. Law, courts and the rest
15.1 Estonian law governs this agreement. Disputes go to Harju County Court (Harju Maakohus) in Tallinn, unless mandatory law says otherwise.
15.2 Other provisions:
- If one part of these terms is invalid, the rest stays in force.
- We may transfer this agreement to a successor that continues ClimateCurrent; we tell you first.
- These terms are in English.
